Rêv Partners with Searchlight Capital Partners to Acquire Netspend Consumer Business

 Netspend Founders Combine Assets to Create a Global Industry Leader

(“Searchlight”), has entered into a definitive agreement to acquire the Netspend consumer business from Global Payments in an all cash transaction valued at $1 billion. The acquisition brings back Netspend’s founders, Roy and Bertrand Sosa, who also founded Rêv. The Sosa brothers look to leverage the strategic assets of the two entities to build a global, high growth company that delivers on a mission of financial empowerment and product innovation.


For Searchlight, this transaction represents another exciting partnership with dynamic fintech entrepreneurs while also being able to support growth and innovation for consumer financial services to underserved markets. AD HOC ANNOUNCEMENT PURSUANT TO ART. 53 LR


CSL Limited (ASX: CSL; USOTC:CSLLY) is pleased to announce it has now received all necessary regulatory clearances for the acquisition of Vifor Pharma AG (Vifor) announced on 14 December 2021.


CSL has set the settlement date of the public tender offer for Vifor for 9 August 2022. If the offer conditions that remain in effect until the settlement remain fulfilled until that date, shareholders who accepted the offer will receive the offer price for each share tendered into the offer on the settlement date, subject to the terms of the offer.


CSL anticipates that it will hold more than 97% of Vifor shares upon the settlement of the offer and intends to have Vifor apply for the delisting of the Vifor Shares after the settlement. Also, CSL has filed an action to cancel the remaining publicly held Vifor Shares in accordance with Swiss takeover rules. The proceedings are currently suspended and will be resumed after the Settlement. Planning for the integration of Vifor is well advanced.

Exemptions from SIX disclosure and publicity obligations


Due to the advanced stage of the acquisition process, SIX Exchange Regulation AG granted Vifor Pharma various exemptions from certain disclosure and publicity obligations in a decision dated 29 July 2022, including an exemption from the obligation to publish a Half-Year Report 2022. These exemptions will take effect upon publication of this ad hoc announcement.


The relevant parts of the decision of SIX Exchange Regulation AG are as follows:


I. Vifor Pharma AG (Issuer) is hereby exempted from the following obligations until the expiry of the period of validity of the Best Price Rule pursuant to Art. 10 para. 1 of the Ordinance of the Swiss Takeover Board of 21 August 2008 on Public Takeover Offers (Takeover Ordinance, TOO), until and including 22 September 2022:


a. Publication of the Half-Year Report 2022 (Art. 49 ff. LR in conjunction with art. 10 et seq. Directive on Financial Reporting [DFR] and Directive Regular Reporting Obligations [DRRO]);


b. Publication of ad hoc notices (Art. 53 LR in connection with the Directive on Ad Hoc Publicity [DAH]), with the exception of the publication of an ad hoc notice concerning the announcement of the date of delisting of the Issuer's registered shares as soon as such date is determined;


c. Disclosure of management transactions (Art. 56 LR);


d. Keeping of the corporate calendar (Art. 52 LR);


e. Fulfillment of the following regular reporting obligations (Art. 55 LR in conjunction with Art. 9 DRRO):


para. 1.05 (Change of external auditors),

para. 1.06 (Change of balance sheet date),

para. 1.08 (4) (Change of weblink to the corporate calendar),

Entry of a minority shareholder or several minority shareholders in the proceedings for cancellation of the issuer's registered shares pursuant to Art. 137 of the Federal Act on Financial Market Infrastructures and Market Conduct in Securities and Foreign Exchange Trading of 19 June 2015 (Financial Market Infrastructures Act, FMIA) before the competent court;


b. Withdrawal of the action for cancellation of the issuer's registered shares before the competent court by the plaintiff or by a legal successor;


c. Dismissal of the action for cancellation of the issuer's registered shares by the competent court;


d. The judgment of the competent court regarding the cancellation of the issuer's registered shares is upheld.


Should one of the events pursuant to this Clause a. to d. occur before the expiry of the period of validity of the Best Price Rule, the issuer's obligations pursuant to Section I shall revive immediately after the expiry of the period of validity of the Best Price Rule, i.e. on 23 September 2022.


If one of the events pursuant to this Clause a. to d. occurs after the expiry of the period of validity of the Best Price Rule, i.e. by 29 October 2022, the issuer's obligations pursuant to Section I shall be revived immediately. In the event of a revival of the obligations pursuant to Section I, the issuer must publish and submit to SIX Exchange Regulation AG the Half-Year Report 2022 within six weeks of the date of the respective revival of the obligations pursuant to Section I (Art. 50 LR in conjunction with Art. 11 et seq. Africa’s Largest Asset Manager PIC Leads Pension Funds Investing in Continent’s Infrastructure via AFC

(BUSINESS WIRE)--In a significant milestone for African pension capital being deployed for domestic infrastructure and industrial development, the Public Investment Corporation (PIC), Africa’s largest asset manager, with over US$150 billion in assets under management, plans an inaugural investment in the Africa Finance Corporation (AFC), the continent’s leading infrastructure solutions provider.


PIC has given formal notification to make a US$100 million equity investment in the AFC. The approved investment from the South African pension fund manager follows recent equity inflows to AFC from the Seychelles Pension Fund, the Government of Sierra Leone, the Republic of Togo, the Central Bank of Guinea and further investment from the Ghana Infrastructure Investment Fund, which are among the 32 equity investors in AFC. (BUSINESS WIRE) -- Graminex®, L.L.C. is pleased to announce it has completed a clinical study with Graminex® Flower Pollen Extract for women’s urinary incontinence and urinary health with positive results. This study was conducted as a randomized, double-blind, placebo-controlled, study to investigate the effectiveness of Graminex® Flower Pollen Extracts in 190 healthy women with urinary incontinence. Preliminary analysis indicated significant improvements were found in the Graminex® Flower Pollen Extract study group for multiple urinary incontinence quality of life indicators.


For many years flower pollen extracts have been studied for women’s menopause symptoms. Recently, Graminex® has discovered benefits in the more specific women’s health category of urinary incontinence, particularly stress induced urgency. Urinary incontinence is more pronounced in postpartum women as well as during menopause.

SES Completes $450 Million Acquisition of DRS Global Enterprise Solutions Doubling US Government Business

 A combined DRS GES and SES Government Solutions positions the organization as a leader in building, managing and supporting the most advanced satellite network solutions for the US Government


(BUSINESS WIRE)--SES and its wholly-owned subsidiary SES Government Solutions (SES GS) today announced the completion of the acquisition of DRS Global Enterprise Solutions (GES) from Leonardo DRS for $450 million after obtaining all the necessary regulatory approvals. The DRS GES business will be combined with SES GS to create a scaled solutions provider serving the multi-orbit satellite communications needs of the US Government and supporting missions anywhere on land, at sea, or in the air.


With the combined businesses operating as SES Government Solutions, the new organization will comprise a cross-functional workforce with deep technical expertise and a proven ability to integrate and manage multi-orbit geostationary and medium earth orbit (MEO) services as well as multi-operator network solutions. In particular, SES GS will offer highly flexible second-generation MEO services – via SES’s soon-to-be launched O3b mPOWER system – with a unique combination of low latency and high throughput per terminal for high-value missions, to an expanded government customer base. SES GS will also leverage essential tools and expertise in cybersecurity operations, customer support, governance and compliance. The combined business will continue to serve US Government customers under the direction of the SES GS Proxy Board of Directors.


The consolidation of DRS GES with SES GS is expected to unlock $25 million of annualized run-rate synergies, with government becoming SES’s largest data business segment in terms of revenue.


The combined business will be led by David Fields, who assumes responsibilities on August 1, 2022 as appointed by the SES GS Proxy Board. Fields has over 30 years of experience in the satellite communications and information technology (IT) services industries, and joins SES GS from DRS GES. He succeeds Brigadier General Pete Hoene, USAF (Retired), who, after 11 years at the helm of SES GS and decades of dedicated service in the satellite communications arena, will take his retirement.
